ASSET VALUATION

Asset valuation includes valuation of asset in the form of real property (land and buildings), personal property (machinery, equipment, vehicle, inventory), biological asset, and other tangible assets. Asset valuation is used for various purposes, such as for collateral/loan guarantee, M&A, IPO, auction, sale and purchase, taxes, insurance, corporate action, etc.



BUSINESS VALUATION

Business valuation is a process to estimate the value of a business entity, which includes business ownership interest (share), equity, and net asset. Business valuation is used for various purposes, namely sale and purchase, M&A, taxes, corporate action, goodwill impairment test, etc.





FAIRNESS OPINION

Fairness opinion is an opinion on the fairness of a corporate action that is bound to OJK (Financial Services Authority of the Republic of Indonesia) rules, namely POJK 17/2020 regarding Material Transaction and Business Activity Change and POJK 42/2020 regarding Affiliate Transaction and Conflict of Interest Transaction. The procedures used in providing fairness opinion includes qualitative and quantitative analysis of the transaction.


FEASIBILITY STUDY

Feasibility study provides comprehensive review on relevant aspects to deliver an opinion on the feasibility of a business or project. Opinion on the feasibility is conducted through a series of analyses on several aspects, namely legal and regulation, market, technical, business and management model, social and environmental, and financial.


STUDY HBU

HBU study seek for the highest and best use of a property among several development alternatives. The principles in HBU study is that the property should be legally permissible, physically possible, financially feasible, and maximum productive use. HBU study is somehow similar to pre-feasibility study in term of business or project development staging.


PROJECT MONITORING

Project monitoring provides independent inspection of a project construction. Creditors or investors of a project usually require project monitoring to ensure their disbursed fund is used in accordance with the construction progress and schedule.





INTANGIBLE ASSET VALUATION

is a non-tangible asset that has future economic benefits. This includes copyright, trademark, license, patent, franchise, concession right, costumer list, non-compete agreement, etc. Intangible asset valuation is mainly used for purchase price allocation, goodwill impairment test, sale and purchase, taxes, corporate action, etc.


FINANCIAL INSTRUMENT VALUATION

is tradeable asset which represent ownership of a contractual right. This comprises such as derivative, compound derivative, receivable, bond, etc. Financial instrument valuation is mainly used for financial reporting purpos.





ECONOMIC DAMAGE VALUATION

damage is a result of an event that affect a contract, in which one party is assumed to breach the contract and cause economic loss to the other party. Economic damage analysis is mainly used for dispute resolution and settlement.


SOLVENCY ANALYSIS

Solvency analysis is to examine the capacity of a company to service its debt. This service is usually required by regulation for a non-bank financial institution in assuming debt. Solvency analysis comprises of three solvency test, i.e. balance sheet test, cash flow test, and adequate capital test.


FINANCIAL ADVISORY

Corporate action may become a complex task for the management to execute. This service is to assist clients in conducting their corporate action, by reviewing and analysing transaction structure to achieve the main objectives of the transaction in an efficient and effective way.
